Terms of Service

Use of the Amafi DataRoom is governed by the engagement letter your firm signed with Amafi. This page is a plain-language overview of the most operationally relevant terms; the engagement letter prevails on any conflict.

Permitted use

The DataRoom is licensed to the engaging firm and the deal counterparties it invites. You may upload, organise, and review M&A deal documents on behalf of your firm. You must not redistribute documents outside of access granted by the deal admin.

Watermarking and audit

Every document you view is uniquely watermarked with your email and timestamp, and every page-view is recorded. By using the DataRoom you accept that your access is auditable.

Confidentiality

Deal materials are confidential. You agree not to copy, screenshot, or otherwise extract documents outside of the affordances the DataRoom provides. NDA acceptance may be required before access is granted.

AI assistant

The AI assistant produces summaries and citations from deal documents. Output is informational and does not constitute investment, legal, or accounting advice. You remain responsible for verifying citations against source pages.

Termination

Access may be revoked at any time by the deal admin or by Amafi for breach. On termination of the engagement, all deal materials are deleted within thirty days.

No warranty

The DataRoom is provided on an as-is basis. We work hard on uptime and integrity but do not warrant that the service will be uninterrupted or error-free.
